Mia AI Character Chat – Terms of Use

By using Mia AI Character Chat (the “Service”), you agree to these Terms. You own your content, but you grant us a license to operate and improve the Service. The Service and AI outputs are provided “as is” and may be inaccurate. Don’t break the law, spam, or abuse the Service. We may suspend or terminate accounts that violate these Terms. Some jurisdictions provide additional rights—see regional supplements. Nothing here is legal advice.
1. Acceptance of these Terms
By accessing or using the Service—via our website, mobile apps, or any interface—you confirm you’ve read, understood, and agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent you have authority to bind that organization; in that case “you” means the organization.
2. Eligibility & Age Requirements (18+)
You must be at least 18 years old (or older if your local law sets a higher age) to use the Service. We do not knowingly permit minors to use the Service. We may ask for proof of age/consent and may suspend or terminate access if requirements are not met.
3. Accounts and Security
Registration. Some features require an account; provide accurate information and keep it updated.
Credentials. You’re responsible for your login and all activity under your account. Notify us promptly at support@miaaichat.com of any unauthorized use.
One user, one account. Do not sell or share your account without our written permission.
4. Service Model (No User-to-User Messaging)
The Service is a single-player experience. You interact only with AI characters. There is no user-to-user messaging, profiles, feeds, or public posting. Where these Terms reference “User Content,” it covers your own inputs (e.g., prompts, text, uploads) and your private conversations with AI characters.
5. User Content & Licenses
5.1 Your Content
“User Content” means text, images, audio, video, prompts, feedback, or other material you submit or generate. You retain ownership.
5.2 License You Grant to Us
To operate, secure, and improve the Service (including model safety/performance), you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your User Content solely for Service purposes and as otherwise permitted by you. Where required, we will rely on your consent and provide opt-out mechanisms described in the Privacy Policy.
5.3 Your Responsibility
You are responsible for your User Content and the consequences of sharing it. Do not upload or generate content that you do not have rights to or that infringes others’ rights.
5.4 Feedback
If you send suggestions or ideas, you grant us the right to use them without restriction or compensation.
6. AI Outputs & Your Responsibilities
No guarantees. AI-generated content may be inaccurate, misleading, or offensive. Verify critical information independently.
Use at your own risk. The Service is provided “as is.” You’re responsible for your use of outputs and compliance with laws and third-party rights.
Sensitive use cases. Do not rely on the Service for medical, legal, financial, or safety-critical advice without consulting qualified professionals.
7. Safety, Content Rules, and Reporting
You agree not to generate, request, or attempt to obtain content that is illegal or violates these rules, including:
• Sexual content involving minors (strictly prohibited) or any exploitation/abuse.
• Harassment, threats, hate, or incitement of violence.
• Content that violates intellectual-property, privacy, or other rights.
• Malware, phishing, or attempts to compromise accounts or systems.
Report Message. You can report any message directly in chat (e.g., “Report” action or long-press → Report). We review reports promptly (typically within 24 hours) and may remove content, restrict features (e.g., disable specific prompts or scenarios), or suspend access if we identify violations.
Because the Service has no user-to-user messaging, features like “blocking users” do not apply. You can delete conversations or uninstall the app at any time, and we may provide additional in-app tools to manage your experience.
We reserve the right to take appropriate action (including content removal, feature limits, or account suspension) where we detect misuse or violation.
8. Intellectual Property
8.1 Our IP
All rights in the Service (software, models, code, text, graphics, trademarks) belong to AC KOZAK GROUP or our licensors. We grant you a limited, non-exclusive, revocable license to access and use the Service for personal or internal business purposes, subject to these Terms.
8.2 Third-Party Materials
Some features may use third-party content, models, or tools under their own licenses. You must comply with those terms.
9. Paid Features & Subscriptions (Including Apple In-App Purchases)
If paid features are offered now or later:
• Billing. Prices, billing period, and payment method are shown at checkout. Taxes may apply.
• Apple In-App Purchase (IAP). On iOS, payments are processed by Apple using your Apple ID. Subscriptions auto-renew unless canceled at least 24 hours before the end of the current period. Manage or cancel in Settings → Apple ID → Subscriptions.
• Trials. If a free trial is offered, it converts to a paid subscription unless canceled before the trial ends. Unused portions of a free trial may be forfeited when you purchase a subscription.
• Refunds. Unless required by law, payments are non-refundable. For iOS IAP, refunds are handled by Apple under their policies.
• Chargebacks & Fraud. We may suspend or terminate access for suspected fraud or chargebacks.
10. Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable if any feature is unavailable or changed.
11. Termination
You may stop using the Service at any time; you may also request account deletion (see Privacy Policy).
We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, licenses granted to you end, but provisions intended to survive (e.g., Sections 5.2, 6, 8, 11–19) remain in effect.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICE WILL BE ERROR-FREE OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.
Some jurisdictions do not allow certain disclaimers; some of the above may not apply.
13. Limitation of Liability
To the maximum extent permitted by law, AC KOZAK GROUP and its affiliates, directors, employees, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits or revenues; or loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of (or inability to use) the Service; (b) any conduct or content of any third party; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content.
Our total liability for all claims will not exceed the greater of (i) amounts you paid to us in the 12 months before the event, or (ii) €50. Some jurisdictions do not allow limitations of liability; some limits may not apply.
14. Indemnification
You agree to defend, indemnify, and hold harmless AC KOZAK GROUP, its affiliates, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any rights of another.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of Poland, without regard to conflict-of-law principles. The competent courts of Kraków, Poland have exclusive jurisdiction over disputes, unless mandatory consumer-protection rules let you bring claims elsewhere.
Where required by EU law, we will provide information on alternative dispute resolution (ADR) or online dispute resolution platforms. We do not commit to any specific ADR entity unless mandated.
16. EU/EEA Consumer Information
Right of withdrawal. For digital services, you may have 14 days to withdraw from a purchase unless you consent to immediate performance and acknowledge losing the right of withdrawal. We will provide a withdrawal form where required.
Mandatory law prevails. Nothing in these Terms limits statutory consumer rights in your country of residence.
17. US Supplement (Arbitration & Class Action Waiver)
If you reside in the United States, you and AC KOZAK GROUP agree to binding arbitration for any dispute arising from or relating to these Terms or the Service, except for claims that qualify for small-claims court. You waive any right to participate in a class action. The arbitration will be conducted by the AAA under its Consumer Arbitration Rules. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@miaaichat.com with subject “Arbitration Opt-Out” and your account email.
This Section does not apply where prohibited by law.
18. US State Privacy & Consumer Supplements
If we make the Service available to residents of certain US states (e.g., California, Virginia, Colorado, Connecticut, Utah), additional disclosures and rights may apply. See our Privacy Policy for details and any required opt-out mechanisms (e.g., “sale” or “sharing” of personal information as defined by state law).
19. App Stores & Third-Party Platforms
If you download the app from Apple App Store or Google Play:
• You agree to comply with their terms and policies.
• Apple/Google are not responsible for maintenance or support of the app.
• To the extent permitted by law, Apple/Google have no warranty obligations or liability regarding the app. Apple/Google may be third-party beneficiaries of these Terms.
20. Export, Sanctions & Geographic Restrictions
You must comply with applicable export control and sanctions laws. You may not use the Service if you are located in, or are a resident of, a country or region subject to comprehensive sanctions, or if you are a sanctioned individual or entity.
21. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable advance notice (e.g., via email or in-app). The “Effective date” above shows the latest version. Continued use of the Service after changes become effective constitutes acceptance.
22. Miscellaneous
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements.
Severability. If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remainder will remain in effect.
No waiver. Our failure to enforce any right or provision is not a waiver.
Assignment. You may not transfer these Terms without our written consent. We may assign our rights/obligations (e.g., in a merger, acquisition, or asset sale).
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, war, pandemics, internet outages).
